Terms of Service

From everyone at With1AI, thank you for using our products! We build them to act as your ultimate asynchronous AI teammate, helping you and your engineering team do your best work. Because our tool integrates deeply into your workflows and source code, we have to put in place some Terms of Service to set expectations, protect your data, and keep the ship afloat.

When we say “Company”, “we”, “our”, or “us” in this document, we are referring to Smart IT Solutions EOOD (VAT/Company Registration: BG204966981), located in Bulgaria, Pernik, Teva 24/15.

When we say “Services”, we mean our websites (including with1.ai and app.with1.ai), the With1AI cloud infrastructure, and our integrations across platforms like GitHub, Jira, Bitbucket, and GitLab.

When we say “You” or “your”, we are referring to the people or organizations that own an account with our Services. For With1AI, the user who initially creates the With1AI workspace is considered the Owner of the account, regardless of who pays the bill, unless ownership is explicitly transferred within the app.

We may update these Terms of Service (“Terms”) in the future. Whenever we make a significant change to our policies, we will refresh the date at the top of this page and take appropriate steps to notify account holders.

When you use our Services, now or in the future, you are agreeing to the latest Terms. These Terms do contain a limitation of our liability.

Account Terms & Security

  1. You are responsible for maintaining the security of your With1AI account and the third-party accounts (e.g., GitHub, Jira) that you connect to it. With1AI relies on the OAuth tokens and permissions you grant it. The Company cannot and will not be liable for any loss or damage from your failure to secure your underlying source control or issue tracking accounts.
  2. You must be a human. Accounts registered by “bots” or other automated methods are not permitted (though utilizing our AI bot to do the work is exactly the point!).
  3. You are responsible for all content posted to, code merged, and activity that occurs under your account.

Acceptable Use & AI Restrictions

Because With1AI is an autonomous coding agent, we have strict rules regarding its usage. You may not use the Services—or instruct the AI to use the Services—for any of the following:

  1. Malware: Generating, distributing, or executing malicious code, viruses, worms, or ransomware.
  2. Hacking/Pen-testing: Using the AI to perform unauthorized penetration testing, vulnerability scanning, or exploiting third-party systems.
  3. Jailbreaking: Attempting to bypass, exploit, or “jailbreak” the safety filters of With1AI or our underlying LLM providers.
  4. Stolen Code: Processing, analyzing, or modifying illegally obtained or stolen source code.
  5. Abuse: Verbal, physical, written or other abuse (including threats of abuse or retribution) of a Company employee or officer.

If you violate any of these Terms, we will terminate your account immediately.

Payment, Refunds, and Plan Changes

  1. For paid Services, you will be billed via our payment processor, Stripe. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, Stripe will collect those taxes (like EU VAT) on behalf of the taxing authority.
  2. Refund Policy: We want you to be happy with your AI teammate. If you are unsatisfied with a paid tier, we offer a 14-day money-back guarantee on your initial subscription charge. Please contact support to request a refund.
  3. If you upgrade or downgrade your plan, the new rate starts from the next billing cycle, or is prorated appropriately by our billing provider.

Cancellation and Termination

  1. You are solely responsible for properly canceling your account. You can do this within the app settings.
  2. Upon cancellation, or if you revoke our OAuth access from your source control provider, your AI will immediately cease to function. Your context, code embeddings, and tokens will be permanently deleted from our active systems within 30 days, and from our backups within 60 days.
  3. We have the right to suspend or terminate your account and refuse any and all current or future use of our Services for any reason at any time. We utilize this right to protect our infrastructure from abuse and nefarious actors.

AI Code Generation & Copyright

  1. You own your code. We claim no ownership rights over the source code, prompts, or tickets you provide to the Service.
  2. You own the AI output. With1AI claims no ownership over the code generated by the AI on your behalf.
  3. You are responsible for the AI output. While With1AI strives to write excellent, secure code, it is an AI. You assume all responsibility for reviewing, testing, and merging the code generated by With1AI. We are not liable for bugs, security vulnerabilities, downtime, or infrastructure damage caused by code generated by the AI and subsequently merged/deployed by your team.

Uptime, Third-Party APIs, and Privacy

  1. Your use of the Services is at your sole risk. We provide these Services on an “as is” and “as available” basis.
  2. Third-Party Reliance: With1AI relies heavily on third-party APIs (including LLM providers like OpenAI and Anthropic, and platforms like GitHub). Uptime, performance, and availability of With1AI may be affected by outages or rate limits from these third parties. We are not liable for service interruptions caused by upstream providers.
  3. Privacy & GDPR: When you use our Services, you entrust us with your data. You agree that Smart IT Solutions EOOD may process your data as described in our Privacy Policy. As an EU-based company, we adhere to GDPR regulations regarding data protection and processing.

Liability

We mention liability throughout these Terms but to put it all in one section:

You expressly understand and agree that the Company shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) bugs, vulnerabilities, or damages caused by code generated by the Service; (iii) the cost of procurement of substitute goods and services; (iv) unauthorized access to or alteration of your transmissions or data; (v) statements or conduct of any third party on the service; (vi) or any other matter relating to these Terms or the Services, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.

In other words: choosing to let an AI write code for your systems means you are making a bet on us. We do everything in our power to ensure the AI operates securely in isolated cloud environments, but you must still review its work. If you choose to use our Services, thank you for betting on us.
